These Terms of Use (the "Terms") govern your access to and use of treasuremage.com, including all associated webpages, user accounts, auction pages, live auction chat, bid or ticket purchases, promotional or referral features, and related products and services made available by AI Alchemitects, Inc. operating as TreasureMage ("TreasureMage", "we", "us", or "our") (collectively, the "Services").
By accessing or using any part of the Services, creating an account, purchasing tickets or bids, placing a bid, posting in live auction chat, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, as amended from time to time.
If you do not agree to these Terms, you must not access or use the Services.
You may use the Services only if you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
By using the Services, you represent and warrant that:
TreasureMage may request information or documentation reasonably required to verify your age, identity, eligibility, payment information, or compliance with these Terms. If you do not provide requested verification information, or if TreasureMage reasonably believes that you are not eligible to use the Services, TreasureMage may suspend, restrict, or terminate your access to the Services.
TreasureMage operates an online auction platform through which, among other things, eligible users may purchase tickets or bids and use those tickets or bids to place bids on listed items.
Unless otherwise expressly stated for a particular feature or promotion, each auction is intended to be awarded to the eligible user who places the highest valid bid at the time the auction closes, subject to these Terms and any stated auction rules.
Tickets or bids are a contractual mechanism that permits participation in auctions on the Services. Tickets or bids:
TreasureMage reserves the right to establish, modify, suspend, or discontinue rules relating to auctions, bidding increments, closing mechanics, eligible items, promotional features, and ticket or bid use, provided that such changes will apply only as expressly stated by TreasureMage.
To access certain features of the Services, including bidding, ticket purchases, live auction chat, referral features, and order history, you must create and maintain an account (an "Account").
When creating an Account, you must provide the information requested by TreasureMage and keep that information accurate and up to date at all times. You are solely responsible for:
TreasureMage is entitled to rely on the instructions, actions, and communications received through your Account. TreasureMage is not liable for any loss or damage arising from your failure to maintain the security of your Account or login credentials.
TreasureMage may refuse registration of an Account, require re-verification, or suspend or terminate an Account at any time where TreasureMage reasonably considers it necessary to protect the integrity, security, fairness, or lawful operation of the Services.
Subject to this Section, TreasureMage may permit a user to maintain more than one Account.

TreasureMage may, in its sole discretion, investigate linked or related Accounts and may suspend, merge, restrict, or terminate Accounts, void tickets, cancel bids, withhold rewards, or take any other enforcement action TreasureMage reasonably considers appropriate where it suspects abuse, misrepresentation, fraud, manipulation, or non-compliance with these Terms.
In order to protect the integrity and fairness of the Services, the following persons are prohibited from directly or indirectly purchasing tickets or bids, placing bids, receiving auction items, or otherwise participating as bidders on the production platform:
A person who is prohibited from participating under this Section must not attempt to participate through another account, another person, or any indirect arrangement.
TreasureMage may investigate suspected breaches of this Section and may, without limiting any other remedy:
TreasureMage may offer tickets or bids for purchase in such denominations, packages, quantities, and prices as TreasureMage determines from time to time.
Unless TreasureMage expressly states otherwise at the time of sale, all prices displayed on the Services are exclusive of applicable taxes.
TreasureMage may offer promotions, bundles, or discounts from time to time; however, TreasureMage reserves the right to define the terms, limits, duration, eligibility criteria, and availability of any such promotion in its sole discretion.
TreasureMage may correct any obvious pricing, display, typographical, technical, or system error affecting ticket or bid pricing, including after a purchase attempt, acting reasonably and in good faith. If TreasureMage cancels a purchase due to an error, TreasureMage's sole obligation will be to reverse the affected transaction or provide an equivalent credit or refund for the affected purchase, as applicable.
All purchases of tickets or bids are final except as expressly provided in these Terms or as otherwise required by applicable law.
TreasureMage may list items for auction on the Services from time to time. Each auction listing may include, as applicable, an item description, image, set or edition information, grading or condition information, shipping information, auction number, opening price, current price, bid history, and other information TreasureMage considers relevant.
TreasureMage will use commercially reasonable efforts to describe listed items accurately; however, except where expressly stated otherwise in writing, all item descriptions, images, grades, conditions, estimated values, market references, and other listing information are provided for general informational purposes only and are not guarantees.
Colours, images, and visual appearance may vary depending on screen settings, image quality, lighting, cropping, and similar factors. Unless expressly stated otherwise, items may be sold ungraded, may show ordinary wear, and may not be in mint condition.
Where TreasureMage references a market value, estimated value, comparable value, or similar value indicator, such value is an informational reference only as of the time selected by TreasureMage and does not constitute a representation, warranty, appraisal, or promise of resale value.
TreasureMage reserves the right to correct, revise, withdraw, relist, suspend, or cancel any auction listing at any time before fulfillment where TreasureMage reasonably determines that a listing contains an error, omission, inaccuracy, duplicate posting, incorrect image, incorrect description, integrity issue, or other issue affecting the fair or lawful operation of the Services.
By placing a bid on an auction, you make an irrevocable offer, through the use of the Services and subject to these Terms, to participate in that auction in accordance with the applicable auction rules then displayed by TreasureMage.

TreasureMage may establish and revise auction rules from time to time, including rules respecting bid increments, start and end times, countdown or extension mechanics, reserve or minimum conditions, eligibility requirements, closing procedures, and the number of tickets or bids required to place a bid.
TreasureMage's server records and system logs will be the primary evidence of the timing, validity, and status of bids, tickets, chat activity, and auction results in the event of any question, discrepancy, or dispute.
TreasureMage may refuse, invalidate, reverse, or cancel any bid or auction result where TreasureMage reasonably believes that:
If an auction is canceled, voided, or materially affected by an error or integrity issue, TreasureMage may, in its sole discretion and acting reasonably, cancel the affected auction, restore affected tickets or bids, reverse the affected transaction, relist the item, provide a credit, or implement another reasonable corrective measure.
A user who is determined by TreasureMage to be the highest valid bidder at the close of an auction will be the winning bidder for that auction, subject to these Terms.
The winning bidder must complete any required payment, confirm or maintain accurate shipping information, and comply with any reasonable verification or fulfillment requirements specified by TreasureMage or its payment processor.
TreasureMage may refuse fulfillment or may cancel, suspend, or reverse a winning transaction where:
Unless otherwise expressly stated, title to a physical item will transfer to the winning bidder only upon full payment of all amounts owing and delivery of the item to the carrier for shipment. Risk of loss will pass in accordance with the carrier's applicable terms once the item has been delivered by TreasureMage to the carrier, except to the extent otherwise required by applicable law.
TreasureMage may use third-party payment processors, shipping carriers, fulfillment providers, or service providers in connection with the Services. TreasureMage is not responsible for delays, losses, interruptions, or errors caused by third-party providers, except to the extent required by applicable law.
Except as expressly provided in these Terms or as otherwise required by applicable law, all purchases of tickets or bids and all completed auction transactions are final.
TreasureMage does not offer cash refunds for used tickets or bids solely because a user did not win an auction.

Unless otherwise required by applicable law, TreasureMage is not obligated to provide a cash refund where TreasureMage offers a reasonable substitute remedy under this Section.
If you initiate, threaten, or cause a chargeback, payment reversal, dispute, or recovery process in respect of any transaction while retaining the benefit of the transaction or while failing to first address the matter with TreasureMage in good faith, TreasureMage may, in addition to any other remedy available to it:
The Services may include live auction chat, messaging, comment, username, profile, or other interactive communication features (collectively, "User Communications").
You are solely responsible for all User Communications submitted through your Account. By submitting User Communications, you represent and warrant that:

TreasureMage may, but is not obligated to, monitor, review, record, preserve, moderate, remove, edit, disable, or disclose User Communications for the purposes of operating the Services, enforcing these Terms, investigating complaints, preventing fraud or abuse, complying with legal obligations, protecting users, or preserving the integrity, security, fairness, or lawful operation of the Services.
TreasureMage does not endorse and is not responsible for User Communications posted by users. User Communications may be inaccurate, offensive, misleading, or objectionable. Your use of live auction chat and other interactive features is at your own risk.
By posting User Communications, you grant TreasureMage a non-exclusive, worldwide, royalty-free, sublicensable licence for the term of the intellectual property rights in such communications to host, store, reproduce, display, transmit, moderate, use, and otherwise process such communications as reasonably necessary to operate, improve, protect, and promote the Services and to enforce these Terms.
TreasureMage may suspend or disable live auction chat or restrict a user's access to chat features at any time, with or without notice, where TreasureMage reasonably considers such action appropriate.
TreasureMage may offer referral programs, promotional campaigns, bonuses, rewards, loyalty-style features, guild points, Treasure Chests, or other promotional or account-based features from time to time (collectively, "Promotions").
Unless TreasureMage expressly states otherwise in writing, Promotions:
Where TreasureMage offers a referral-based Promotion, TreasureMage may define what constitutes a valid or qualified referral, including conditions relating to account eligibility, identity verification, first purchase, payment clearance, anti-abuse review, time windows, account status, and chargeback history.
TreasureMage may withhold, cancel, reverse, or adjust any Promotion, reward, guild points, Treasure Chest benefit, referral benefit, or bonus where TreasureMage reasonably determines that:
Promotions and rewards are provided at TreasureMage's discretion and are intended solely as promotional features of the Services. They do not constitute money, deposits, stored value, or cash equivalents.
You consent to receive communications from TreasureMage electronically, including by email, website notice, account notification, auction notice, fulfillment notice, chat moderation notice, and similar communications relating to your Account, transactions, Promotions, and use of the Services.
You are responsible for maintaining current and accurate contact information and for reviewing communications sent or made available by TreasureMage through the Services.
Where TreasureMage sends commercial electronic messages, TreasureMage will do so in accordance with applicable law. Transactional, service-related, security, verification, fulfillment, and similar operational communications may still be sent where permitted by law.
TreasureMage may offer Treasure Chests, grab bags, bonus items, promotional merchandise, or other special reward features from time to time, including as part of Promotions or account-based features.
Unless TreasureMage expressly states otherwise in writing:
Where TreasureMage permits users to claim or request shipment of Treasure Chests or similar reward items, TreasureMage may require the user to maintain an eligible Account, provide accurate shipping information, satisfy verification requirements, and comply with any applicable shipping or promotional rules.
Unless TreasureMage expressly states otherwise, TreasureMage is not responsible for delays, losses, customs issues, import restrictions, failed deliveries, address errors, or other shipping issues caused by third-party carriers or by inaccurate user information.
TreasureMage may cancel, withhold, replace, or refuse fulfillment of any Treasure Chest or reward item where TreasureMage reasonably suspects fraud, abuse, ineligibility, chargeback risk, rule violation, or other non-compliance with these Terms.
The Services may include, rely on, integrate with, or make available third-party services, including payment processors, shipping carriers, analytics providers, hosting providers, authentication tools, communication tools, advertising or measurement tools, market-reference sources, embedded content, and other third-party technologies or services.
Your use of certain third-party services may be subject to separate terms, policies, or conditions imposed by those third parties. TreasureMage does not control and is not responsible for the content, availability, performance, privacy practices, security, terms, or conduct of third-party services except to the extent required by applicable law.
TreasureMage may use analytics, measurement, logging, and related technologies to understand how users interact with the Services, to administer and improve the Services, to detect fraud or misuse, to support security and troubleshooting, and to measure performance and engagement.
You acknowledge that TreasureMage may share or receive information with or from third-party service providers where reasonably necessary to process payments, detect fraud, fulfill orders, operate the Services, administer Promotions, maintain security, respond to disputes, or otherwise carry out the purposes described in these Terms and the Privacy Policy.
TreasureMage may modify, update, suspend, restrict, discontinue, or remove any part of the Services at any time, including any auction format, bid mechanics, chat feature, Promotion, reward feature, pricing option, listing format, design element, functionality, or content.
TreasureMage does not guarantee that the Services, or any feature of the Services, will always be available, uninterrupted, error-free, secure, or compatible with every device, browser, payment method, or network connection.
Scheduled maintenance, emergency maintenance, technical failures, software defects, third-party outages, connectivity problems, latency, and other interruptions may affect the Services, including auctions, chat, payments, listings, and account access.
TreasureMage will not be liable for any interruption, delay, inaccessibility, or loss of data, bids, chat history, rewards, or other content arising from maintenance, updates, technical issues, third-party failures, or other causes beyond TreasureMage's reasonable control, except to the extent required by applicable law.
TreasureMage may amend, update, or replace these Terms from time to time.
When TreasureMage updates these Terms, TreasureMage may post the revised version on the Services, update the "last updated" date, provide notice through the Services or by email, or use another reasonable method of notice.
Unless TreasureMage states otherwise, the revised Terms will become effective when posted. By continuing to access or use the Services after the effective date of revised Terms, you agree to be bound by the revised Terms.
If you do not agree to any revised Terms, your sole remedy is to stop using the Services and, if applicable, close your Account.
The Services, including all software, design, text, graphics, logos, auction formats, page layouts, images, compilations, bid-history displays, chat interfaces, sounds, branding, content, and all related intellectual property rights, are owned by or licensed to TreasureMage and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted under these Terms, no right, title, or interest in or to the Services is transferred to you.
You must not, and must not permit any third party to:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL AUCTIONS, ITEMS, LISTINGS, CONTENT, CHAT FEATURES, PROMOTIONS, REWARDS, AND RELATED FUNCTIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT REPRESENTATIONS, WARRANTIES, CONDITIONS, OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, TREASUREMAGE DISCLAIMS ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AVAILABILITY, ACCURACY, COMPATIBILITY, PERFORMANCE, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TREASUREMAGE DOES NOT WARRANT THAT:
ANY USE OF THE SERVICES IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TREASUREMAGE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, AGGRAVATED, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OPPORTUNITY, GOODWILL, REPUTATION, DATA, USE, EXPECTED SAVINGS, BIDS, TICKETS, REWARDS, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR ANY AUCTION, TRANSACTION, ITEM, LISTING, PROMOTION, REWARD, USER COMMUNICATION, OR THIRD-PARTY SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, TREASUREMAGE WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, OR EXPENSE ARISING FROM OR RELATING TO:

You agree to defend, indemnify, and hold harmless TreasureMage and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and representatives from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees and disbursements on a solicitor-and-own-client basis, arising out of or relating to:
TreasureMage reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in that event you agree to cooperate fully with TreasureMage in the defence or settlement of that matter.
TreasureMage may, with or without notice, suspend, restrict, disable, or terminate your access to all or any part of the Services, including your Account, chat privileges, bidding privileges, ticket balances, Promotions, or pending transactions, where TreasureMage reasonably determines that:
Without limiting any other right or remedy, TreasureMage may, upon suspension or termination:
If your Account is terminated, you must immediately cease using the Services.
Suspension or termination does not affect any rights, obligations, or liabilities accrued before the date of suspension or termination. Any provision of these Terms that by its nature should survive suspension or termination will survive, including provisions concerning payments, refunds, chargebacks, User Communications, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, governing law, and general provisions.
If you have a concern, dispute, or claim arising out of or relating to the Services or these Terms, you agree to first contact TreasureMage and attempt to resolve the matter informally and in good faith.
If the matter is not resolved through informal discussions, then, except where prohibited by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis before a single arbitrator.
The arbitration will be conducted in Edmonton, Alberta, in English, pursuant to the Arbitration Act (Alberta) and, unless the parties otherwise agree, in accordance with procedures suitable for the resolution of commercial disputes by a single arbitrator.
The parties may agree on the arbitrator, failing which either party may apply to a court of competent jurisdiction for the appointment of a single arbitrator.

Nothing in this Section prevents TreasureMage from seeking interim, injunctive, equitable, or protective relief from a court of competent jurisdiction where reasonably necessary to protect the Services, confidential information, intellectual property, or the integrity or security of the platform.
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to Section 24, you attorn to the exclusive jurisdiction of the courts of Alberta for any matter in respect of which court proceedings are properly brought.

TreasureMage may also designate additional or updated contact information from time to time through the Services, and any such updated contact information will replace prior contact information for the applicable purpose.
